1. Acceptance of Terms

By accessing or using Clawhost ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Description of Service

Clawhost is a managed platform that runs dedicated OpenClaw AI agent containers for each user. The Service allows you to:

• Deploy and manage AI agent containers that run 24/7
• Connect messaging channels (such as WhatsApp and Telegram)
• Configure skills and capabilities for your AI agent
• Store and manage API keys for third-party services
• Monitor your container through real-time logs

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your account information
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Send spam, unsolicited messages, or engage in harassment
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems or data
• Engage in fraudulent activities or impersonation
• Generate or distribute illegal, harmful, or abusive content
• Circumvent usage limits or abuse the platform resources

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

5. Subscription and Billing

Payment

The Service is provided on a subscription basis. Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Billing Cycle

Subscriptions are billed in advance on a monthly basis. Your billing cycle begins on the date you subscribe and renews automatically each month.

Price Changes

We may change our pricing at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

Refunds

Subscription fees are non-refundable except where required by law. If you cancel your subscription, you will retain access until the end of your current billing period.

Failed Payments

If a payment fails, we will attempt to process it again. If payment continues to fail, your subscription may be suspended until payment is successfully processed.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Clawhost and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload through the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

7. User Content and Data

You are solely responsible for the content generated by your AI agent and the data processed through the Service. This includes:

• Messages sent through connected messaging channels
• API keys and credentials you provide
• Skills and configurations you enable
• Any content your AI agent creates or processes

You are responsible for ensuring your use of the Service complies with the terms of service of any third-party platforms you connect (such as WhatsApp, Telegram, or AI providers).

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Factors beyond our control (internet outages, third-party service disruptions)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAWD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Actions taken by your AI agent
• Errors or inaccuracies in AI-generated content
• Unauthorized access to your account
• Third-party service failures

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clawhost and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content generated by your AI agent
• Your violation of applicable laws or regulations

11. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period.

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Upon termination, your container will be deprovisioned and your data will be deleted in accordance with our Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, reliability, or completeness of any AI-generated content.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
